SF CAMERAWORK 2009 BENEFIT AUCTION

CONDITIONS OF SALE

1. The sale will begin at 1 pm on Saturday, December 5, 2008 and will continue until all available prints have been presented for bidding.

2. Photographs will be offered for sale in the same order in which they are listed here. Any work received after press time will be listed in an addendum available at the Preview Exhibition and the Auction.

3. During the day of the sale, bids will be accepted from registered and absentee bidders. Bid numbers for registered bidders will be available throughout the day at the registration desk.

4. The highest bidder acknowledged by the auctioneer will be the purchaser. The auctioneer has the right to reject any bid and to advance the bidding at his/her absolute discretion and, in the event of any dispute between bidders, to determine the successful bidder or to re-offer and resell the article in dispute. Should there be any dispute after the sale, the auctioneer’s record of final sale shall be conclusive.

5. Absentee bids will be accepted online, by fax, mail, telephone, email, or in person. The Absentee Bid Form may be used for fax or mail bids; additional forms will be available at the gallery. Such bids will be executed at the lowest possible price, subject to the reserve price and other bids. If matching bids have been entered by two or more parties, the first bid received will take preference.

6. We make no representation as to the condition of any lot sold and no reference to imperfection is made in the catalog description. All lots are sold "AS IS." Prospective purchasers should inspect the property before bidding to determine its condition.

7. Final bids for each item will be recorded by bid number and the print held at the cashier’s desk until called for by the buyer. All purchases must be paid in full on the day of the auction.

8. Payment may be cash, personal check (with proper identification), or Visa/ MasterCard. California state sales tax of 8.5 % will be added to all purchases in state. Purchases to be shipped will be sent via Federal Express or U.P.S. for an additional $30 or more depending on the shipping costs. If packing and handling of purchased lots is done by SF Camerawork, it is done at the entire risk of the purchaser.

By bidding on items online at SFCamerawork.org, the User also agrees to the following Terms and Conditions:

1. SF Camerawork requires the User to provide his or her full name, full address, phone number and email address and valid credit card number and credit card expiration date to use the Service. The User represents and warrants that all information provided is true and accurate.

2. Users must be of legal age with the ability to enter into binding contracts for the sale and purchase of goods. The User represents and warrants that he or she is at least 18 years of age.

3. All information collected as referenced in paragraph 1 above is referred to in this Agreement as "Personal Information."

4. The User expressly consents to the use and disclosure of all Personal Information for the purposes of cooperating with law enforcement and enforcing intellectual property rights and other controlling legal rights. Further, Users hereby authorize SF Camerawork to disclose any Personal Information, however obtained, about any User to law enforcement or other government officials, as SF Camerawork, in its sole and unrestricted discretion, believes necessary or appropriate to comply with the law.

5. SF Camerawork may use Personal Information to inform Users of changes and new offerings. SF Camerawork may use email addresses, mailing addresses or phone numbers to contact Users regarding account and invoicing issues.

6. SF Camerawork may use a User's Personal Information and activity to resolve disputes, troubleshoot problems, and enforce any contract with clients.

7. DISCLAIMER OF WARRANTIES: THIS SERVICE IS BEING PROVIDED BY SF CAMERAWORK AT THE SOLE RISK OF THE USER. NEITHER SF CAMERAWORK NOR THEIR INFORMATION PROVIDERS, LICENSORS, EMPLOYEES OR AGENTS WARRANT THAT THE SYSTEM WILL BE UNINTERRUPTED OR THAT THE INFORMATION OR ACCESS WILL BE ERROR-FREE; NOR DO SF CAMERAWORK OR ANY OF THEIR INFORMATION PROVIDERS, LICENSORS, EMPLOYEES OR AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SERVICE AND DISCLAIM ANY WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE, EXPRESSED OR IMPLIED ON THE USE OF THE SERVICE, OTHER THAN THOSE WARRANTIES WHICH ARE INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION.

8. LIMITATION OF LIABILITY: NEITHER SF CAMERAWORK NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SERVICE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE SERVICE OR INABILITY TO USE THE SERVICE (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, GOODWILL OR SAVINGS, DOWNTIME, DAMAGE TO OR REPLACEMENT OF PROGRAMS AND DATA) ARISING FROM CLAIMS BASED IN WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ANY SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM OR DAMAGE. THE PROVISIONS OF THIS AGREEMENT ARE FOR THE BENEFIT OF SERVICE PROVIDERS, AND THEIR INFORMATION PROVIDERS, LICENSORS, EMPLOYEES AND AGENTS AND EACH SHALL HAVE THE RIGHT TO ASSERT AND ENFORCE SUCH PROVISION DIRECTLY ON ITS OWN BEHALF. THE PROVISIONS OF THIS PARAGRAPH SURVIVE ANY TERMINATION OF THIS AGREEMENT.

9. SF Camerawork makes every effort to include correct and accurate information. This includes, but is not limited to, mistakes and typographical errors entered. SF Camerawork may update information without notice, at its sole discretion.

10. Contents of the online auction are the exclusive property of SF Camerawork and may not be reproduced in any form without prior written consent of SF Camerawork. "SF Camerawork" and the SF Camerawork logo are trademarks of SF Camerawork and may not be used without prior written consent.

11. SF Camerawork reserves the right to refuse service to anyone at any time. SF Camerawork reserves the right to cancel any listing at any time. SF Camerawork reserves the right to cancel any bid at any time.

12. The laws of the State of California govern this Agreement. Users expressly agree that exclusive jurisdiction for any claim or dispute resides in the courts of the State of California. Users further agree and expressly consent to the exercise of personal jurisdiction in the State of California in connection with any dispute or claim involving SF Camerawork.
